1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the LifePreneur Platform and all associated services (the "Platform" or "Service"), offered by LifePreneur, LLC ("Company," "we," "us," or "our").

By purchasing, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by:

Your continued use of the Platform constitutes acceptance of these Terms and any future modifications.

2. DEFINITIONS

For purposes of these Terms:

  • "Platform" refers to the LifePreneur community membership platform offered by LifePreneur, LLC, including all training materials, Discord community access, live sessions, resources, digital content, and any additional products or services provided now or in the future.
  • "Subscription" refers to the recurring monthly or annual membership to access the Platform.
  • "User," "Member," "you," or "your" refers to any individual who purchases or accesses the Platform.
  • "Content" refers to all materials, videos, training sessions, templates, documents, text, images, audio, and other resources provided within the Platform.
  • "Community" refers to the private Discord server and associated community features accessible to active Members.
  • "Additional Products" refers to any one-time digital products, courses, resources, or other offerings available for purchase within or alongside the Platform.

3. ELIGIBILITY & ACCOUNT REQUIREMENTS

3.1 Age Requirement

The Program is intended for individuals 18 years of age or older. By purchasing or using the Program, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into binding contracts
  • All information you provide is accurate and truthful

We do not knowingly accept members under 18 years of age. If we discover that a user is under 18, we will terminate their account immediately.

3.2 Account Creation

After purchasing a subscription:

  • You will receive an email with instructions to create your account
  • You must complete the account setup process to access the Platform
  • You are responsible for maintaining the confidentiality of your login credentials
  • You agree to notify us immediately of any unauthorized access to your account

3.3 Geographic Restrictions

The Program is available globally, though certain features or content may be restricted based on your location due to legal or technical limitations.

4. SUBSCRIPTION PLANS & PRICING

4.1 Available Plans

We offer the following subscription plans:

Monthly Subscription:

  • Price: $99 USD per month
  • Billed monthly on a recurring basis
  • Access continues as long as subscription is active
  • Can be cancelled at any time (see Section 9)

Annual Subscription:

  • Price: $999 USD per year (equivalent to $83.25/month)
  • Billed annually on a recurring basis
  • Access continues as long as subscription is active
  • Can be cancelled at any time (see Section 9)

4.2 Pricing Changes

We reserve the right to modify subscription pricing at any time. Changes will:

  • Apply to new subscriptions immediately
  • Apply to existing subscriptions at the next renewal period
  • Be communicated to you at least 30 days before your renewal date
  • Give you the option to cancel before the price increase takes effect

Grandfathering: We may, at our sole discretion, offer existing members continued access at their original subscription rate.

4.3 Payment Processing

Payment Processor: All payments are securely processed through Stripe, a third-party payment processor.

What We Store: We do not store your full payment card details. Stripe securely stores your payment information in compliance with PCI-DSS standards.

Payment Authorization: By subscribing, you authorize:

  • Stripe to charge your payment method for the subscription fee
  • Automatic recurring billing at each renewal period (monthly or annual)
  • Storage of your payment method for future billing

Failed Payments: If a payment fails:

  • We will attempt to process payment up to 3 times over 7 days
  • You will receive email notifications of failed payment attempts
  • Access may be suspended if payment cannot be processed
  • Your account may be cancelled if payment is not resolved within the grace period

4.4 Taxes & Fees

Your Responsibility: You are solely responsible for:

  • Any applicable sales tax, VAT, GST, or other taxes based on your location
  • Currency conversion fees charged by your bank or payment provider
  • International transaction fees

Tax Collection: In certain jurisdictions, we may be required to collect and remit sales tax or VAT on your behalf. If applicable, taxes will be added to your subscription price at checkout.

5. WHAT YOU GET: PROGRAM FEATURES & ACCESS

5.1 Included Features

Your active subscription provides access to:

Discord Community:

  • Private Discord server access
  • Real-time chat with other members
  • Community support and networking
  • Exclusive community channels

Live Training Sessions:

  • Regular live training calls and workshops
  • Q&A sessions with instructors
  • Real-time learning and interaction
  • Opportunity to ask questions and get feedback

Training Library:

  • Access to recorded training videos and lessons
  • Call replays and past session recordings
  • Downloadable resources and templates
  • Step-by-step guides and tutorials

Ongoing Support:

  • Customer support via email
  • Community support from fellow members
  • Regular updates and new content additions
  • Access to Platform improvements and new features

5.2 Access Duration

Active Subscription: You have full access to the Program as long as your subscription is active and in good standing.

No Fixed End Date: Unlike one-time purchase programs, your access continues indefinitely as long as you maintain an active subscription.

Cancellation: If you cancel your subscription:

  • Access continues until the end of your current billing period
  • You will not be charged for subsequent periods
  • Access is revoked at the end of the paid period
  • You will no longer have access to Discord community, training materials, or live sessions

5.3 Content Updates

We regularly update and improve the Program:

  • New training content may be added
  • Existing content may be updated or improved
  • Features may be added, modified, or removed
  • Platform functionality may evolve

No Guarantee of Specific Content: We reserve the right to modify, update, or discontinue any aspect of the Program at our discretion. We are not obligated to maintain access to any specific content, feature, or session.

5.4 Platform Availability

We strive to maintain 24/7 access to the Platform, but we cannot guarantee uninterrupted service. Access may be temporarily unavailable due to:

  • Scheduled maintenance
  • Technical issues or server problems
  • Third-party service disruptions (e.g., Discord, Vercel)
  • Force majeure events beyond our control

We will make reasonable efforts to notify you of scheduled maintenance in advance.

6. USER CONDUCT & COMMUNITY GUIDELINES

6.1 Acceptable Use

You agree to use the Program in a lawful and respectful manner. You agree NOT to:

Harassment & Abuse:

  • Harass, threaten, intimidate, or harm other members or staff
  • Post discriminatory, hateful, or offensive content
  • Engage in bullying, trolling, or personal attacks
  • Share explicit, violent, or inappropriate content

Spam & Solicitation:

  • Spam the community with unsolicited messages or promotions
  • Promote competing products or services without permission
  • Share affiliate links without proper disclosure or authorization
  • Engage in multi-level marketing or pyramid schemes

Platform Misuse:

  • Attempt to hack, disrupt, or compromise Platform security
  • Use automated tools, bots, or scripts without authorization
  • Create multiple accounts to evade restrictions
  • Share your login credentials with others

Legal Violations:

  • Violate any local, state, national, or international laws
  • Infringe on intellectual property rights of others
  • Engage in fraudulent or deceptive practices
  • Impersonate staff, instructors, or other members

6.2 Discord Community Guidelines

In addition to these Terms, you must comply with:

Moderation: We reserve the right to moderate, edit, or remove any content posted in the Community that violates these guidelines.

6.3 Consequences of Violations

If you violate these Terms or Community Guidelines, we may:

  • Issue a warning
  • Temporarily suspend your access
  • Permanently terminate your account and access
  • Ban you from the Discord community
  • Take legal action if warranted

No Refunds for Violations: If your access is terminated due to violations, you will not be entitled to a refund for any unused portion of your subscription or any Additional Products purchased.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Our Ownership

All content provided within the Program is the exclusive property of LifePreneur, LLC and is protected by copyright, trademark, and other intellectual property laws.

Protected Content Includes:

  • Training videos, lessons, and recorded sessions
  • Templates, worksheets, and downloadable resources
  • Proprietary frameworks, methods, and strategies
  • Text, images, graphics, logos, and branding
  • Audio recordings and transcripts
  • Software, code, and Platform functionality
  • Community posts created by staff and instructors

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Program content solely for your personal, non-commercial use while your subscription is active.

You MAY:

  • View and access training content for your own learning
  • Take notes for personal reference
  • Implement strategies in your own business

You MAY NOT:

  • Download, copy, or save Program videos or materials
  • Record, screenshot, or reproduce training sessions
  • Share your login credentials or Discord access with others
  • Distribute, republish, or share content outside the Program
  • Resell, repurpose, or commercialize our training materials
  • Teach, train, or coach others using our paid curriculum
  • Use our proprietary frameworks or methods in your own courses
  • Create derivative works based on our content

7.3 Enforcement

We take intellectual property violations seriously. Unauthorized use, distribution, or reproduction of our content may result in:

  • Immediate termination of your access (no refund)
  • Legal action to protect our intellectual property rights
  • Pursuit of damages and recovery of attorney fees
  • Criminal prosecution where applicable

DMCA Compliance: We comply with the Digital Millennium Copyright Act. If you believe content within the Program infringes your copyright, contact us at support@lifepreneur.com with details.

7.4 User-Generated Content

Any content you post in the Community (messages, comments, feedback, ideas, suggestions) may be used by us without compensation or attribution. By posting content, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display such content.

7.5 Trademarks

"LifePreneur," our logo, and other brand names are trademarks of LifePreneur, LLC. You may not use our trademarks without prior written permission.

8. DISCLAIMERS & NO GUARANTEES

8.1 Educational Content Only

The Program provides educational information and training. It does NOT provide:

  • Legal advice
  • Financial advice
  • Tax advice
  • Professional consulting services
  • Business coaching (unless explicitly stated)

You should consult qualified professionals for legal, financial, tax, or business advice specific to your situation.

8.2 No Income Guarantees

We make NO guarantees regarding your income, earnings, or financial results.

  • Results vary widely based on individual effort, skills, market conditions, and other factors
  • Testimonials and success stories represent exceptional results, not typical outcomes
  • Any income examples or earnings claims are illustrative only
  • Past performance is not indicative of future results

8.3 Third-Party Platforms

Our training content references and teaches strategies for third-party platforms including TikTok, TikTok Shop, and others. We are NOT affiliated with, endorsed by, or sponsored by TikTok, ByteDance, TikTok Shop, or any other third-party platform.

  • Third-party platform policies, requirements, and opportunities may change at any time without notice
  • We cannot guarantee your acceptance into any third-party program, platform, or affiliate program
  • Third-party platform rules are subject to change and are entirely outside our control
  • Your success on any external platform depends on your compliance with that platform's terms and conditions

The Platform provides educational training and community support. We cannot control or guarantee outcomes on any third-party platform.

8.4 Service "As Is"

The Program is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free service

We do not warrant that:

  • The Program will meet your specific needs or expectations
  • Content is always accurate, current, or complete
  • Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Platform is free from viruses or harmful components

9. CANCELLATION & REFUNDS

9.1 Your Right to Cancel

You may cancel your subscription at any time through your account settings or by contacting support@lifepreneur.com.

Upon Cancellation:

  • Recurring billing stops immediately
  • You retain access until the end of your current billing period
  • You will not be charged for the next period
  • Access is revoked at the end of the paid period
  • No partial refunds are provided for unused time in the current period

9.2 Refund Policy

We offer a 7-day money-back guarantee from the date of your initial purchase.

To request a refund:

  • Email support@lifepreneur.com within 7 days of purchase
  • Include your name, email, and reason for refund request (optional)
  • Allow up to 5-7 business days for processing

Refund Eligibility:

  • Available only on your first subscription payment (not renewals)
  • Must be requested within 7 days of initial purchase
  • Refund decisions are made at our sole discretion with flexibility
  • Refunds may be denied if Terms violations occurred

What Happens After Refund:

  • Your subscription is cancelled
  • Access to the Platform and Community is immediately revoked
  • You may not rejoin the Program without prior approval

9.3 Additional Digital Products

Certain one-time digital products, courses, or resources ("Additional Products") available for purchase within or alongside the Platform are delivered immediately upon purchase and are not eligible for refunds unless otherwise stated at the time of purchase.

By purchasing any Additional Product, you acknowledge that:

  • Delivery occurs immediately upon payment
  • Digital content cannot be "returned" once accessed
  • No refund will be issued except where required by applicable law
  • Chargebacks initiated for delivered digital products are considered a violation of these Terms

9.4 Our Right to Terminate

We reserve the right to suspend or terminate your access at any time, with or without notice, if:

  • You violate these Terms or Community Guidelines
  • Payment fails and cannot be resolved
  • We suspect fraudulent activity or abuse
  • We discontinue the Program or specific features
  • Required by law or legal process
  • You engage in conduct harmful to the Company or Community

No Refunds for Violations: If your access is terminated due to violations, no refund will be provided.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

10.1 Disclaimer of Damages

We (LifePreneur, LLC, and our owners, employees, contractors, affiliates, and service providers) shall NOT be liable for:

  • Indirect damages: Loss of profits, revenue, data, or business opportunities
  • Consequential damages: Damages resulting from your use or inability to use the Program
  • Incidental damages: Unexpected damages arising from these Terms or the Program
  • Special or punitive damages: Damages intended to punish or make an example
  • Damages from third parties: Actions or omissions of Discord, Stripe, or other third-party services
  • Business losses: Lost sales, income, or earnings from implementing Program strategies
  • Emotional distress: Mental anguish, stress, or emotional harm

10.2 Maximum Liability

Our total aggregate liability to you shall not exceed the amount you paid for your subscription in the 12 months prior to the event giving rise to liability.

For example: If you paid $99/month for 6 months ($594 total), our maximum liability is $594.

10.3 Basis of the Bargain

These limitations are fundamental to the agreement between you and us. The Program would not be provided at the current pricing without these limitations.

10.4 Jurisdiction-Specific Limitations

Some jurisdictions do not allow limitation of certain warranties or liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless LifePreneur, LLC, and our officers, directors, employees, contractors, affiliates, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Your use or misuse of the Program
  • Your violation of these Terms
  • Your violation of any third-party rights (including intellectual property or privacy rights)
  • Your conduct in the Discord Community
  • Your business activities using strategies learned in the Program
  • Content you post or share within the Platform
  • Your violation of any applicable laws or regulations

This indemnification obligation survives termination of these Terms.

12. THIRD-PARTY SERVICES & INTEGRATIONS

12.1 Third-Party Dependencies

The Program relies on and integrates with third-party services, including but not limited to:

Discord: Community platform for member interaction

Stripe: Payment processing for subscriptions

Rewardful: Affiliate tracking and referral management

Vercel: Platform hosting and infrastructure

12.2 No Control Over Third Parties

We do not control third-party services. Each service:

  • Has its own terms of service and privacy policy
  • May change features, pricing, or availability at any time
  • May experience outages or technical issues
  • May collect and process your data independently

You are responsible for complying with each third-party service's terms.

12.3 No Liability for Third-Party Actions

We are not responsible or liable for:

  • Actions, omissions, or failures of third-party services
  • Changes to third-party service features or availability
  • Data handling practices of third-party services
  • Service interruptions or data loss caused by third parties
  • Your interactions with other members in the Community

If Discord bans your account or Stripe declines your payment, these are beyond our control.

12.4 Links to External Websites

The Program may contain links to external websites or resources. We are not responsible for:

  • Content, accuracy, or safety of external sites
  • Privacy practices of external sites
  • Products or services offered by external sites

You access external links at your own risk. Review their terms and privacy policies before use.

13. PRIVACY & DATA PROTECTION

13.1 Data Collection

We collect and process personal information to provide the Program, including:

  • Account information (name, email)
  • Payment information (processed by Stripe)
  • Discord profile data
  • Usage data and analytics
  • Support communications

13.2 Our Commitment

We are committed to protecting your privacy and complying with applicable data protection laws, including GDPR and CCPA.

13.3 Your Rights

Depending on your location, you may have rights regarding your personal data:

  • Access your data
  • Correct inaccurate data
  • Request deletion
  • Opt-out of marketing communications
  • Withdraw consent

14. GOVERNING LAW & DISPUTE RESOLUTION

14.1 Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles.

14.2 Mandatory Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY arising out of or relating to these Terms or the Program shall be resolved by binding arbitration rather than in court, except as provided below.

Arbitration Requirements:

  • Location: Maricopa County, Arizona
  • Rules: American Arbitration Association (AAA) rules
  • Arbitrator: Single arbitrator mutually agreed upon or appointed by AAA
  • Decision: Arbitrator's decision is final and binding
  • Costs: Each party bears their own attorney fees; arbitration fees split equally or as determined by arbitrator

Exceptions to Arbitration:

  • Small claims court actions (if case qualifies)
  • Injunctive relief to protect intellectual property rights
  • Any claims that cannot be arbitrated under applicable law

14.3 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST LIFEPRENEUR, LLC.

All disputes must be brought individually, not as a plaintiff or class member in any class or representative proceeding.

14.4 Statute of Limitations

Any claim arising from these Terms or the Program must be filed within one (1) year of the date the cause of action arose. After one year, the claim is permanently barred.

14.5 Jury Trial Waiver

You waive the right to a jury trial for any dispute arising from these Terms or the Program.

15. MODIFICATIONS TO THESE TERMS

15.1 Right to Modify

We reserve the right to modify, update, or change these Terms at any time at our sole discretion.

15.2 Notice of Changes

When we update these Terms:

  • The "Last Updated" date at the top will change
  • Material changes will be communicated via email or Platform announcement
  • Changes become effective immediately upon posting (unless otherwise stated)

15.3 Your Acceptance

Continued use of the Program after changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms:

15.4 Previous Versions

Previous versions of these Terms are available upon request by emailing support@lifepreneur.com.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and Earnings Disclaimer, constitute the entire agreement between you and LifePreneur, LLC regarding the Program.

These Terms supersede any prior agreements, communications, or understandings (written or oral).

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

  • That provision shall be modified to the minimum extent necessary to make it valid
  • All other provisions shall remain in full force and effect
  • The invalid provision shall be replaced with a valid provision that achieves the intended purpose

16.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

A waiver of any breach does not constitute a waiver of any subsequent breach.

16.4 Assignment

You may NOT assign or transfer these Terms or your rights under them without our prior written consent.

We may assign these Terms to any affiliate, successor, or purchaser of our business without restriction.

16.5 Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, fires)
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Pandemics or public health emergencies
  • Internet or telecommunications failures
  • Third-party service disruptions

16.6 Relationship of Parties

These Terms do NOT create:

  • An employment relationship
  • A partnership or joint venture
  • An agency relationship
  • A franchise relationship

You are an independent user of the Program. We are not your employer, partner, or business advisor.

16.7 Survival

The following provisions survive termination of these Terms:

  • Intellectual Property Rights (Section 7)
  • Disclaimers & No Guarantees (Section 8)
  • Limitation of Liability (Section 10)
  • Indemnification (Section 11)
  • Governing Law & Dispute Resolution (Section 14)
  • Any other provision that by its nature should survive

16.8 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

16.9 Language

These Terms are written in English. Any translations provided are for convenience only. In the event of conflict, the English version controls.
